REJOICE & REPURPOSE
CONSIGNMENT TERMS AND CONDITIONS
Effective September 3, 2026
INTRODUCTION
These Consignment Terms and Conditions (“Terms”) form an agreement between Rejoice & Repurpose (“R&R,” “we,” “us,” or “our”) and the individual submitting items for consignment (“Consignor,” “you,” or “your”).
By signing, submitting the online consignment form, selecting the agreement checkbox, or delivering items after receiving these Terms, you confirm that you have read, understood, and accepted them.
These Terms apply only to consigned items. Items submitted through Donate With Purpose are governed by a separate agreement.
CONSIGNMENT RELATIONSHIP
You authorize R&R to receive, inspect, research, prepare, photograph, measure, describe, market, list, negotiate, sell, store, pack, and ship accepted items on your behalf.
You retain ownership until an item is sold, returned, or otherwise transferred through separate written authorization. Submission does not guarantee acceptance, listing, or sale.
ITEMS WE ACCEPT
R&R may accept or decline items at its discretion based on condition, cleanliness, authenticity, brand, style, size, season, resale demand, expected value, and available capacity.
Items commonly considered include women’s clothing, premium and designer clothing, handbags, shoes, jewelry, accessories, vintage and Y2K pieces, new-with-tags merchandise, and desirable trend-driven items.
Items must be clean, dry, odor-free, lawfully owned, and reasonably saleable. All stains, wear, repairs, alterations, odors, missing pieces, authenticity concerns, and other defects must be disclosed.
R&R may decline or return an item if an undisclosed or material issue is discovered.
OWNERSHIP AND AUTHENTICITY
You represent that you lawfully own every submitted item, have the unrestricted right to consign and sell it, and have provided truthful information regarding its brand, material, condition, and authenticity.
No submitted item may be stolen, counterfeit, subject to a lien, or owned by another person.
You agree to cooperate with reasonable authentication requests. If an item is reasonably suspected to be counterfeit, stolen, unlawful, or materially misrepresented, R&R may remove or return it, surrender it when legally required, cancel the consignment, and deduct associated item-specific expenses.
You are responsible for refunds, penalties, authentication expenses, shipping charges, marketplace fees, or reasonable costs caused by a breach of these representations.
INTAKE AND INVENTORY RECORDS
R&R may assign client and item identification numbers and document an item’s condition at intake.
R&R’s photographs and inventory records may be used to resolve condition questions unless you promptly notify R&R of an error.
CONSIGNMENT PERIOD
The standard consignment period is 90 days, beginning when the item is first listed or formally entered into active inventory, as documented by R&R.
Reasonable preparation delays—including authentication, photography, research, approved cleaning, marketplace review, or technical problems—do not constitute a breach of these Terms.
Continued listing after 90 days requires mutual approval or another arrangement between R&R and the Consignor.
PRICING AND SELLING AUTHORITY
You authorize R&R to determine listing prices, accept reasonable offers, and apply promotions or markdowns without obtaining separate approval for every change.
Pricing may reflect comparable sales, demand, condition, rarity, seasonality, marketplace fees, expected transaction expenses, and time listed.
The general pricing schedule is:
Days 1–30: Market-based introductory pricing.
Days 31–60: Reasonable offers and moderate markdowns may be accepted.
Days 61–90: Stronger offers and markdowns may be used to encourage a sale.
Prices may differ between marketplaces. R&R does not guarantee a particular price, marketplace, selling period, or result.
50/50 COMMISSION
For every completed sale, Net Sale Proceeds are divided equally:
• The Consignor receives 50%.
• Rejoice & Repurpose receives 50%.
This division applies regardless of the item’s original retail value, initial listing price, or final selling price.
Your payment is calculated from Net Sale Proceeds—not the listed price or gross selling price.
NET SALE PROCEEDS
“Net Sale Proceeds” means the amount R&R actually receives from a completed transaction after applicable:
• Marketplace and payment-processing fees;
• Seller-funded shipping discounts or shipping adjustments;
• Item-specific promotional or advertising charges;
• Buyer credits or transaction adjustments;
• Returns, refunds, disputes, or chargebacks;
• Authentication charges;
• Taxes or transaction expenses charged to R&R; and
• Other item-specific expenses disclosed and agreed to in writing.
Buyer sales tax collected and remitted by a marketplace is not part of the sale proceeds.
R&R’s ordinary labor, photography, listing work, storage, and routine operating overhead will not be separately deducted unless an additional expense is disclosed and agreed to in writing.
COMPLETED SALES, RETURNS, AND REFUNDS
A transaction is complete only after payment clears and the marketplace’s buyer-acceptance, return, cancellation, and dispute period has ended.
Cancelled, returned, refunded, disputed, fraudulent, or charged-back transactions are not completed sales, and no commission is owed on those transactions.
Returned items may be relisted if they remain saleable.
If a transaction is reversed after a payout has been issued, R&R may deduct the overpayment and related item-specific costs from future amounts owed. If no future payment is available, you agree to reimburse R&R within 15 days after written notice.
PAYOUT SCHEDULE
Payouts are processed monthly for completed sales that have cleared all applicable return, acceptance, and dispute periods.
Your preferred payout method will be provided on the consignment application. You are responsible for providing accurate and current payment information.
R&R is not responsible for delays caused by incorrect information, unavailable payment services, or failure to respond to a payment-information request.
PHOTOGRAPHY AND LISTING CONTENT
R&R owns the original photographs, descriptions, measurements, graphics, promotional materials, and other content it creates.
You may not reuse this content commercially without written permission.
R&R may use photographs of consigned items in marketplace listings, advertising, social media, educational content, portfolio materials, and brand promotions.
CARE, STORAGE, LOSS, AND DAMAGE
R&R will exercise reasonable care when handling, storing, photographing, packing, and shipping items.
R&R is not responsible for ordinary wear, undisclosed weaknesses, inherent defects, color transfer, age-related deterioration, carrier loss, buyer misconduct, marketplace fraud, fire, flood, severe weather, theft despite reasonable precautions, utility failure, or similar circumstances outside its reasonable control.
Nothing in these Terms limits responsibility for gross negligence, willful misconduct, or liability that cannot legally be waived.
If R&R is legally responsible for the loss of or material damage to an item, compensation will be limited to the Consignor’s 50% payment reasonably estimated from the item’s documented condition and anticipated Net Sale Proceeds—not its original retail price, replacement cost, asking price, or sentimental value.
EARLY WITHDRAWAL
You may request withdrawal of an unsold item in writing.
R&R generally has up to seven business days to remove active listings and confirm that no offer, sale, shipment, return, or dispute is pending.
An item cannot be withdrawn after an offer has been accepted or while a transaction is pending.
You are responsible for return shipping or other agreed return expenses. Local pickup may be arranged when available.
UNSOLD ITEMS
Near the end of the 90-day consignment period, R&R may offer:
• Return or pickup of the item;
• Continued listing by mutual agreement; or
• Removal of the item from active inventory.
Unsold consigned items do not automatically become the property of R&R and do not automatically enter Donate With Purpose.
You must respond and arrange return or pickup within 14 calendar days after R&R’s initial notice. If you do not respond, R&R may send a final written notice using your latest contact information.
If an item remains unclaimed 30 days after final notice, R&R may treat the item as abandoned and dispose of it lawfully to the extent Pennsylvania law permits.
Transfer into Donate With Purpose requires separate affirmative authorization.
TERMINATION BY R&R
R&R may terminate a consignment early because of:
• An ownership or authenticity concern;
• An undisclosed defect or odor;
• Materially inaccurate information;
• A possible marketplace or legal violation;
• Interference with an active listing or transaction;
• Threatening, abusive, fraudulent, or unlawful conduct; or
• Circumstances that make continued consignment impractical.
Completed sales, pending transactions, returns, refunds, chargebacks, and outstanding amounts remain governed by these Terms.
TAXES
R&R or the applicable marketplace may collect and remit customer sales tax as required.
You are responsible for determining and reporting any personal income, business income, or other tax obligation arising from consignment payouts.
R&R does not provide tax or accounting advice. You agree to provide accurate tax-identification information when legally required.
COMMUNICATIONS
You agree that R&R may communicate with you using the email address, telephone number, text-message number, website notification method, or other contact method you provide.
You are responsible for keeping your contact and payment information current.
Notice sent to the latest contact information you provided will be considered reasonably delivered.
NO GUARANTEE OF SALE
R&R does not guarantee that an item will be accepted, listed, sold, sold within a particular period, or sold for a particular amount.
Resale value may change based on demand, season, trends, condition, marketplace activity, and comparable sales.
LIMITATION OF LIABILITY
To the fullest extent Pennsylvania law permits, R&R will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profit, lost opportunity, emotional distress, or sentimental value.
Except where the law requires otherwise, R&R’s total liability concerning an item will not exceed the Consignor’s 50% share of the item’s reasonably estimated Net Sale Proceeds.
INDEMNIFICATION
You agree to indemnify and hold R&R harmless from third-party claims, losses, penalties, refunds, costs, and reasonable legal expenses resulting from:
• Lack of ownership or authority;
• A counterfeit, stolen, prohibited, or unlawful item;
• An undisclosed defect or material misrepresentation;
• Your violation of these Terms; or
• Your violation of applicable law or another person’s rights.
This provision does not require indemnification for R&R’s gross negligence or willful misconduct.
PENNSYLVANIA LAW AND VENUE
These Terms are governed by Pennsylvania law.
Any legal action will be brought in a court of competent jurisdiction in the Pennsylvania county where R&R maintains its principal place of business, unless applicable law requires otherwise.
Before filing a legal action, both parties agree to make a good-faith effort to resolve the dispute through written communication.
ENTIRE AGREEMENT
These Terms, the applicable intake record, and any written item-specific terms constitute the entire agreement concerning consigned items.
Changes affecting an active consignment must be written and agreed to by both parties.
If a provision is found unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision does not waive the right to enforce it later.
ELECTRONIC ACCEPTANCE
Electronic signatures, selected agreement boxes, typed names, and submitted forms are intended to have the same effect as handwritten signatures.
By accepting these Terms, you confirm that you:
• Are at least 18 years old;
• Have read and understood the agreement;
• Had an opportunity to ask questions;
• Agree to the 50/50 division of Net Sale Proceeds;
• Authorize R&R’s pricing, offer, and markdown control;
• Understand that a sale is not guaranteed; and
• Understand that donations require a separate agreement.
